Intempt Savings Plan Terms

These Intempt Savings Plan Terms (the "Savings Plan Terms") set the savings that apply to fees under an Order Form. They form part of the Intempt Customer Terms of Service (the "Customer Terms"). Capitalized terms not defined here have the meanings given in the Customer Terms.

1. Scope and Version

1.1 Scope. These Savings Plan Terms apply to subscriptions under an Order Form with Total Annual Fees of ten thousand US Dollars ($10,000) or more after savings. They do not apply to the Pilot Fee or to self-serve plans, except as stated in Section 4(b).

1.2 Version. The version of these Savings Plan Terms in effect on an Order Form's Effective Date applies to that Order Form for its Initial Term. A later version applies only to new Order Forms and to renewal Order Forms signed after it takes effect.

2. Savings Plan Rate

2.1 Rate. The Savings Plan rate is set by the Initial Term and the number of equal payments it is paid in, as stated on the Order Form and shown below. Each payment is invoiced in advance for the period it covers. The longer the Initial Term and the fewer the payments, the larger the saving.

3. Standard Paper Rate

3.1 Standard Paper Rate. An Order Form signed on Intempt's standard terms receives an additional saving of 2 percent (2%) while no Amendment varies the Agreement for that Order Form. An Amendment that changes only quantities, the Usage Commitment, the Top-Up Amount or dates does not affect the Standard Paper Rate.

4. Loyalty Rate

(a) Under an Order Form, the Loyalty Rate is two percent (2%) for each full Contract Year you have been a customer, up to five (5), to a maximum of ten percent (10%). It rises on each anniversary of the Start Date, every year, within a multi-year Initial Term and across renewals. The Order Form prices each Contract Year of the Initial Term at that year's Loyalty Rate, including where the fees are prepaid, so it is never deferred to a renewal. It has no cash value. The Loyalty Rate resets to zero if your subscription lapses for more than thirty (30) days. A Holdover Period under Section 3.5(c) of the General Terms is not a lapse.

(b) Self-serve annual subscriptions receive the annual rate published at https://intempt.com/pricing on each renewal.

5. How Savings Apply

5.1 Additive. The Savings Plan rate, the Standard Paper Rate, the Loyalty Rate and any Marketing Rate are added together. They are not compounded.

5.2 Eligible Fees. Savings apply only to the fees for seats, the Usage Commitment and its Top-Ups, and the AI Pass. They do not apply to any other fee, including one-time Additional AI Credits packs, add-ons, Support and the Pilot Fee.

6. Marketing Rate

6.1 Election. You may elect any of the marketing items below on the Order Form. Each item is worth one half of one percent (0.5%). Electing an item is not an Amendment and does not affect the Standard Paper Rate.

6.2 Marketing Rate. Each item elected adds its rate to your savings for every Contract Year, applied to the same fees as the other savings under Section 5.2. It applies whether or not Intempt asks for the item in that Contract Year. Intempt may ask for each case study, webinar, press release and review at most once per Contract Year, and you and Intempt will agree the timing in good faith.

6.3 Ending. If you withdraw an item, or decline a reasonable request for it, its rate ends from the next invoice. Amounts already invoiced are not adjusted.

6.4 Approval. Intempt submits any public use of your name, logo, quotes or results to you for approval before publication, and you will not unreasonably withhold or delay that approval.
