Partner Terms
Last Modified: October 1, 2026 (version 2026-10-01)
This Partner Agreement (the "Agreement") governs your participation in the Intempt Collective, the partner program that Intempt Technologies LLC ("Intempt," "we," "us") runs. There are four ways to take part, and you may take part in any combination of them at once:
Share. You refer new paying customers and earn a commission on what they pay.
Build. You author recipes and earn a royalty when other customers run them.
Run. You are an agency, and you earn on the platform usage of the client orgs you are Partner of Record of.
Creator. You make sponsored content or user-generated ads for Intempt for a fee.
This is one agreement. The Common Terms below apply to you however you take part. Each of the four sections that follow adds the earning rules, and where noted the specific terms, for that way of taking part. Earning in one way never reduces what you earn in another. All amounts are calculated in U.S. dollars, and you are responsible for your own taxes.
Existing participants. These terms replace the earlier Intempt Affiliate Terms, Agency Partner Terms and Creator Terms. If you accepted an earlier version, this version takes effect for you as set out in the Changes section, and you are asked to accept it in your Intempt profile. Until then your earlier version continues to apply.
Common terms for every partner
1. Joining and acceptance
1.1 Who can join. Any person with an Intempt account who is at least eighteen (18) years old may join. You may not join if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, or if you are named on, or owned or controlled by someone named on, a U.S. or other applicable sanctions list. The Share and Build sections are open to join with no application review; the Run section requires an application and a partner call, and Creator work is accepted per order, as those sections set out.
1.2 How you join. For Share and Build, you join in the Intempt Collective section of your Intempt member profile by ticking the box that says you agree to these terms, with the version shown, and choosing a handle. The box is never ticked for you, and you cannot join until you tick it. Your acceptance takes effect immediately and your link works straight away.
1.3 Acceptance records. When you join, or accept a new version of these terms, we record who accepted, the terms version, a fingerprint of the text you accepted, the checkbox wording, the time, your IP address and your browser user agent. We keep these records for the life of your Intempt account plus seven (7) years.
1.4 Welcome email. When you join we email you your link, the disclosure wording the Share section requires, how payouts work, and a request for the tax form the Payouts section describes.
2. Payouts
This section governs referral commissions (Share), recipe royalties (Build) and agency revenue share (Run). Creator fees for sponsored placements and UGC ads are paid per order, as the Creator section sets out.
2.1 Hold and netting. Every referral commission, recipe royalty and agency revenue share is held for thirty (30) days before it becomes payable. If a charge or credit deduction you earned on is later refunded, disputed or credited, we record a matching negative amount, which is netted against your current and future earnings.
2.2 Schedule and minimum. Intempt finance reviews and approves payouts monthly. A payout is issued once your payable balance reaches $50 USD. Smaller balances roll forward to the next month.
2.3 Methods. Choose one method in your profile: Intempt credits, PayPal, Wise or Revolut. If you own or administer an organization that pays for Intempt, Intempt credits are selected for you until you choose another method. Credits are paid at 1.2 times the credits your balance would buy at list price, and only into an organization you own or administer. For PayPal, Wise and Revolut, Intempt finance contacts you for the account details it needs. We do not store bank account numbers.
2.4 Tax forms. Before any cash payout (PayPal, Wise or Revolut) you must have a completed Form W-9 (U.S. persons) or Form W-8BEN (everyone else) on file with us. Payouts in Intempt credits do not need a tax form.
2.5 Taxes and reporting. You are solely responsible for your own taxes, and for any tax registration, reporting and filing that applies to you. We issue Form 1099 to U.S. partners whose payouts exceed the IRS reporting threshold, and we report payouts to other tax authorities where the law requires.
2.6 Payout emails. We email you when a payout is approved, when it is paid (with its payment reference), when it fails (with the reason), and when we need a tax form from you.
2.7 Unclaimed balances. If a payable balance has no payout method for twelve (12) months, we email you a warning. If you have not set a payout method within thirty (30) days of that warning, the balance is forfeited.
3. Your obligations
3.1 Trademark use. You may use Intempt trademarks and brand assets only as we have provided them and only to promote Intempt. You may not modify our marks or use them in a misleading way.
3.2 Legal compliance. You must comply with all laws and regulations that apply to your participation in the Program, including advertising, consumer protection, anti-spam and privacy laws.
3.3 Accurate information. You must keep your profile, payout and tax information accurate and up to date.
3.4 Disclosure. You must clearly and conspicuously disclose your paid relationship with Intempt on every promotion, as the Federal Trade Commission (FTC) guidelines and other applicable laws require. The Share and Creator sections set out the specific disclosure each of those requires.
4. Changes to these terms
4.1 Notice. We may change these terms by giving you at least thirty (30) days' notice by email. The notice states the new version and the date it takes effect.
4.2 Re-acceptance. From the date a new version takes effect you are asked to accept it in your Intempt profile. Until you accept it, your earnings keep accruing but payouts are held. If you do not want to accept the new version, you may leave under the Term and termination section.
5. Confidentiality
5.1 General. Each party will keep the other party's confidential information confidential, using at least the same degree of care it uses to protect its own. Either party may seek injunctive relief for breach of confidentiality obligations. The Creator section adds specific confidentiality terms for creators who are given access to Intempt's ad account and performance data.
6. Data protection
6.1 Share and Build. For referrals and recipe royalties, Intempt is the controller of the personal data it processes to run the Program, including your account, handle, payout details, tax form status and acceptance records, and the referral records of the people you refer. Our Privacy Policy (Section 2B) explains how we handle it. The Intempt Data Processing Addendum does not apply to this processing.
6.2 Run. Because agencies handle client data, the Intempt Data Processing Addendum (DPA) applies to any personal data processed in connection with the Run section.
6.3 Creator. Any customer data or performance data a creator is exposed to through the ad account or the platform is processed under our Privacy Policy and applicable data protection terms, and is used only to do the work. The no-scraping and deletion rules in the Creator section apply.
7. Term, suspension and termination
7.1 Leaving. You may leave the Program at any time from your Intempt profile, after confirming. Your links stop attributing immediately and you earn nothing new after leaving. Earnings already recorded keep maturing through their hold, and after the last hold ends we make one final payout, regardless of the $50 minimum in the Payouts section. If you rejoin later you start fresh, under the terms then in force, and earlier referrals are not reattributed to you.
7.2 Suspension. We may suspend your participation if we suspect fraud or a breach of these terms. While you are suspended your links stop attributing and your payouts are frozen. We email you the reason, and we complete our review within thirty (30) days. We then either reinstate you, and pay what is due, or terminate for cause.
7.3 Termination without cause. Either party may terminate this Agreement for any reason on fifteen (15) days' written notice. Your earned balance is then paid as if you had left under Section 7.1.
7.4 Termination for cause. We may terminate this Agreement immediately, by email, for fraud, self-referral, a breach of the Acceptable Use Policy, bidding on Intempt brand terms, or any other material breach of the prohibited-methods rules. On termination for cause all unpaid earnings, held or payable, are forfeited. The Run section adds termination terms specific to agencies.
7.5 Program closure. We may close the Program on thirty (30) days' notice. Earned balances are paid as if every partner had left under Section 7.1.
7.6 Effect of ending. When your participation ends for any reason you must stop using your links and all Intempt trademarks and brand assets.
8. General
8.1 Intellectual property. No licence to Intempt's intellectual property is granted under this Agreement except as expressly stated in it. We retain all rights in our marks, content and platform. Any feedback you give us is non-confidential and we may use it without restriction.
8.2 Your indemnification. You will indemnify and hold harmless Intempt from and against any third-party claims arising from your participation in the Program, your breach of this Agreement, or your use of Intempt's trademarks. The Run and Creator sections add indemnities specific to those ways of taking part.
8.3 Disclaimer. THE INTEMPT COLLECTIVE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND.
8.4 Limitation of liability. INTEMPT'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY EARNED BY YOU UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.5 Governing law. This Agreement is governed by the laws of the State of Delaware. The exclusive venue for any dispute is the state and federal courts located in New Castle County, Delaware.
8.6 Relationship. This Agreement does not create any employment, agency, partnership or joint venture relationship between the parties.
8.7 Entire agreement. This Agreement, together with any order accepted under it, is the entire agreement between the parties about the Program and supersedes all prior or contemporaneous communications on the subject, including the earlier Affiliate, Agency and Creator terms once this version applies to you. The English-language version controls in the event of any translation.
8.8 Assignment. You may not assign or transfer this Agreement or any rights under it without Intempt's prior written consent. Intempt may assign this Agreement freely in connection with a merger, acquisition, or sale of substantially all of its assets.
8.9 Survival. The Payouts section (for earnings that remain payable), Section 7.4, and Sections 5, 6 and 8, together with the survival terms stated in the Run and Creator sections, survive any termination of this Agreement.
Share and Build: referrals and recipe royalties
9. Earning from referrals (Share)
9.1 Your link. Your referral link is intempt.com/?via=your-handle, where your handle is the one you chose when you joined. If you change your handle, links you have already shared stop working. We never reassign a handle you held to a different partner.
9.2 Rate and window. You earn 30% of what a qualifying customer you referred pays for seat subscriptions (Professional, Organization and self-serve Enterprise seats) and AI Pass subscriptions, calculated after discounts, before tax, in U.S. dollars. You earn on each qualifying customer for twelve (12) months from its first paid invoice. There is no per-customer cap, and each referral runs its own window.
9.3 Qualifying customer. A qualifying customer is a new Intempt organization created by a person who had no membership in any Intempt organization when they signed up, and who buys through Intempt's self-serve checkout. Nothing else earns referral commission, including: existing customers; a person who joins an existing organization; sales-led deals; subscriptions under an Order Form or otherwise invoiced; charges billed through Shopify; metered usage (such as events, sends, impressions and CRM storage); and credit top-ups and auto-reload.
9.4 Attribution. When someone clicks your link and accepts marketing cookies, we store your handle in a first-party cookie for ninety (90) days. If they do not accept, your handle is carried to signup only during that visit. The first partner link a person clicks wins; a later click on another link does not replace it. A referral is attributed to you when that person signs up within those ninety (90) days and then creates a qualifying customer under Section 9.3. Each referred person can be attributed to one partner, once.
9.5 Ineligible referrals. A referral is ineligible if: (a) applicable law prohibits it; (b) the referred customer objects to the attribution; (c) it was obtained through fraud, self-referral or any method prohibited by Section 9.7; or (d) the referred customer is already attributed to the Run section.
9.6 Launch codes. You may share the launch offer code issued to you, under the Promotional Terms, together with your link, for example intempt.com/?via=your-handle&code=your-offer-code. The person you refer gets that code's credit under the Promotional Terms, and you earn on what they actually pay after it, as Section 9.2 says. The Program offers no other discount, and you may not promise one.
9.7 Prohibited methods. You may not: (a) refer yourself, an organization you belong to, or anyone acting for you; (b) bid on Intempt brand terms in paid search, including "Intempt" and "Blu" and misspellings of them, or use those terms in ad copy or domain names; (c) engage in cookie stuffing, forced clicks, unauthorized pop-ups, link cloaking or any automated means of generating clicks or signups; (d) list your link on coupon, deal or cashback sites; (e) send spam or other unsolicited messages; or (f) make false or misleading claims about Intempt, its products or its prices.
9.8 Disclosure. You must clearly and conspicuously disclose your relationship with Intempt on every promotion that carries your link, as the FTC guidelines and other applicable laws require. Place a disclosure next to your link, for example: "I get a commission for purchases made through this link."
10. Earning from recipe royalties (Build)
10.1 Rate. You earn 20% of the value of every credit consumed when a recipe you authored is run in another customer's organization. Credits are valued at the credit list price, whatever pool they came from (bought, included with seats, free, bonus, promotional or granted). A recipe earns only once you have submitted it, Intempt has accepted it in review, and it is published on the Intempt console. Usage before it is published earns nothing, and so do copies of a recipe that is not published.
10.2 Root author. The royalty goes to the root author of a recipe: the author of the first custom recipe in its chain of copies. If a recipe is a copy (a fork) of an earlier custom recipe, usage of the copy earns for that root author, not for the person who made the copy. Recipes that Intempt provides earn nothing, and so do copies of them.
10.3 Excluded usage. Credits consumed by runs in your own personal account, or in any organization you are a member of, earn nothing.
10.4 Ownership and licence. You keep all intellectual property rights in your recipes. By making a recipe available to other customers, you grant Intempt a non-exclusive, worldwide, royalty-free licence to host, run and display it, and to let other customers run it within the platform, for as long as it is available. Intempt does not acquire ownership of your recipes.
10.5 Delisting. Intempt may delist a recipe that breaks the Acceptable Use Policy or our recipe quality rules. Royalties stop for usage after a recipe is delisted or removed.
10.6 Refunds. If a credit deduction that earned a royalty is refunded, the royalty on it is reversed under the netting rule in the Payouts section.
Run: agencies
The Run section governs agencies. It has one rule: a Run agency earns 30% of the platform usage of each org it is Partner of Record of, for as long as it is Partner of Record.
11. The rule
11.1 What earns. You earn 30% of the platform usage of each org you are Partner of Record of. Platform usage means the metered usage lines on that org's invoices, and the Usage Commitment installment and overage lines of its Order Form.
11.2 How long. You earn on an org for as long as you are its Partner of Record. When you stop being its Partner of Record, you earn nothing new on it.
11.3 What earns nothing. Seats, AI Pass, credit top-ups and CRM Storage earn nothing, on any org.
11.4 One flat rate. The rate is 30% for every agency and every org, whatever the volume. There is nothing to unlock and nothing to qualify for.
12. Partner of Record
One org pays one partner: its Partner of Record. You are the Partner of Record of an org that Intempt has recorded as yours. We may ask for evidence of your engagement with an org at any time.
13. Eligibility and payouts
13.1 Application. To apply, visit intempt.com/partner, choose Run and book a partner call.
13.2 Ineligible orgs. An org earns nothing if applicable law prohibits it, the org objects to the attribution, or the attribution was obtained through fraud.
13.3 Payouts. Agency revenue share is paid under the Payouts section: the same schedule, hold, payout methods and tax forms apply. VAT or GST invoices, if applicable, should be submitted quarterly to hey@intempt.com.
14. Partner rights and obligations
14.1 Non-exclusive. The Run relationship is non-exclusive. Both parties are free to work with other partners, agencies, and service providers.
14.2 Promotion. You may demonstrate and promote the Intempt platform to your prospects and clients. We may provide sales support, materials, and resources.
14.3 Client onboarding. You are responsible for ensuring that each client agrees to the Intempt Customer Terms of Service. If you place an order on behalf of a client, you guarantee payment of all applicable fees.
14.4 Direct engagement. Intempt reserves the right to engage directly with any client at any time.
15. Ending earnings and non-solicitation
15.1 Ending earnings on an org. Your earnings on an org end when you stop being its Partner of Record. Ending your work with one org does not end this Agreement. Termination of this Agreement does not terminate any client's subscription with Intempt; on the termination date you stop being Partner of Record of every client, and revenue share that accrued before that date is still paid under the Payouts section.
15.2 Termination for cause (Run). Either party may terminate the Run relationship immediately upon written notice if the other party: (a) commits a material breach that remains uncured for thirty (30) days after written notice; (b) no longer meets the eligibility requirements of this Agreement; (c) fails to make a required payment within fifteen (15) days of written notice; (d) becomes insolvent or files for bankruptcy; or (e) breaches the Customer Terms of Service, confidentiality obligations, or intellectual property rights. Intempt may also terminate immediately if the partner engages in conduct that harms Intempt's reputation.
15.3 Non-solicitation. During the term of this Agreement and for twelve (12) months following its termination, you agree not to directly solicit for employment any employee or contractor of Intempt with whom you have had material contact in connection with the Run relationship. General public job postings do not constitute solicitation.
15.4 Intempt's indemnification of the agency. If the cumulative quarterly subscription value of clients attributed to you exceeds the threshold published at intempt.com/pricing, Intempt will indemnify you against third-party claims alleging that the Services infringe valid intellectual property rights or that Intempt breached its confidentiality obligations. Standard exceptions apply, including claims arising from your data, modifications, or out-of-scope use. This section states Intempt's entire liability to a Run agency for intellectual property claims.
Creator: sponsored content and UGC ads
The Creator section governs two ways of working with Intempt: (a) you make sponsored content featuring Intempt and publish it on your own channel for a fee, or (b) you make user-generated content (UGC) that Intempt runs as paid advertising for a performance fee. A fee you earn here is separate from, and additional to, any referral commission or recipe royalty you earn under the Share and Build sections on the same work; none of these reduces another.
16. Working as a creator
16.1 Independent contractor. You act as an independent contractor, not an employee of Intempt. This Agreement does not create an employment, agency, partnership or joint venture relationship, and neither party may bind the other. You are not entitled to any employee benefits, and you must have a completed Form W-9 (U.S. persons) or Form W-8 (everyone else) on file with Intempt before the first payout.
16.2 Control. You control your own schedule and how you make the content, including how you film it and the equipment you use. For sponsored placements, Intempt decides only which placements it buys and what they cost. For UGC ads, Intempt controls only which content gets ad spend and how much, not how the content is produced.
16.3 Your voice. You make the content in your own voice. Intempt gives you the frame and the facts, not a script. You decide how to present it, within the standards in Section 19.
16.4 Link and code. Where your content carries a link or a code, you use the referral link or per-creator code assigned to you, so that any signups it drives also earn your referral commission under the Share section.
17. Sponsored placements
17.1 Each placement is a written order. The specifics of a sponsored placement, the deliverable, the format and channel, the go-live date, the fee, and the link or code to use, are set in a short written order that both parties accept. An order incorporates this Agreement, and this Agreement controls if the two conflict, except where the order states a specific commercial term such as the fee.
17.2 Fee. Intempt pays you the fee stated in the order, either a flat fee for the placement or a rate based on the views it delivers (CPM), as the order sets out.
17.3 Invoicing. You invoice Intempt after the placement goes live and meets the order. Intempt pays a correct invoice within thirty (30) days of receiving it. The fee is exclusive of any taxes you owe on it.
17.4 Review before go-live. Before the placement goes live, Intempt may review it for factual accuracy and brand safety, within the window stated in the order. The review is limited to whether the content is accurate and safe to run; it is not control over your creative. You will correct a factual error Intempt identifies before go-live.
17.5 Cancellation and kill fee. Either party may cancel a placement before you begin producing it, at no cost. If Intempt cancels a placement after you have begun producing it but before it goes live, Intempt pays the kill fee stated in the order, or, if the order states none, a fair amount for the work you have done.
18. UGC ads
18.1 The deliverable. Each UGC video is built from a specific Intempt recipe: a named GTM-engineering workflow on the platform. You pick a recipe, run that workflow for real in your own Intempt account, film yourself doing it, and that run becomes the ad. The ad shows the actual play, not a feature tour. Each video covers one recipe. You deliver one or more videos to a brief and a monthly quota set in a short written order the parties both accept. A new hook on the same recipe is not a new deliverable; a different recipe, persona, or use case is.
18.2 Paid-media license (whitelisting). You grant Intempt a non-exclusive license to run your UGC as paid advertising on platforms including Meta, TikTok, YouTube and LinkedIn, and to run it from or in partnership with your own handle (for example Spark Ads or partnership/whitelisting access), for the term stated in the order. Intempt may run, pause, edit the ad placement (not your underlying content) and stop the ads at any time. Your pay accrues only while an ad is actually running.
18.3 Performance fee. You earn a percentage of the valid ad spend Intempt runs behind your videos, at the rate stated in the order (the standard rate is seven percent (7%)). The fee accrues for as long as Intempt keeps spending behind your content, with no fixed end date and no cap, and stops when the ads stop.
18.4 Smart retainer (monthly minimum). An order may set a monthly minimum guarantee (a "smart retainer") tied to a content quota, for example a set number of videos per month. The retainer is a floor, not a fee: if you hit the quota and your performance fee for the month is below the floor, Intempt tops you up to the floor; if your performance fee meets or exceeds the floor, no top-up is paid and you keep the full performance fee. A retainer may be time-limited by the order.
18.5 Payment. Intempt pays valid invoices net 30. Payment rails are owned by Intempt payments and confirmed before an order is signed.
18.6 Valid spend and clawback. The performance fee is paid on valid ad spend. Spend that is later found to be fraudulent, refunded, charged back, or the result of invalid traffic (such as bot clicks or spend the ad platform credits back) does not earn a fee. If a fee was paid or accrued on spend that is later found invalid, Intempt may adjust the amount, net it against your current and future earnings, or recover it, and will show you the spend the adjustment is based on. Intempt may hold a reasonable period, stated in the order, between the month the spend runs and payout, so that refunds, chargebacks and invalid traffic can settle before the fee is paid.
18.7 Content ownership. You own the content you make. Intempt does not acquire ownership. Beyond the paid-media license in Section 18.2, you grant Intempt a non-exclusive, royalty-free license to reuse and clip the content on Intempt's own channels for the term stated in the order. Exclusivity or perpetual rights apply only if the order says so and are priced separately.
18.8 Exclusivity. The Creator relationship is non-exclusive by default. You may make UGC for other brands, including brands that compete with Intempt, unless an order you accept says otherwise. An order may buy category exclusivity for a stated period, in which case you agree not to make paid UGC for the competitors or category named in that order while it is in effect. An order may also set a short recipe-tail restriction after it ends, during which you agree not to film the same recipe or workflow for a direct Intempt competitor. Category exclusivity and the recipe tail are priced separately and apply only if the order states them, for the period the order states.
19. Disclosure and standards
19.1 Disclosure. You disclose the paid relationship clearly and conspicuously on the content, as the United States Federal Trade Commission Endorsement Guides require, using "#ad" or "#sponsored" or an equivalent spoken disclosure, and you comply with the disclosure rules of the platform you publish on.
19.2 Truthful claims. Claims about Intempt must be truthful and not misleading, and any recipe you show must be one the product can actually run. The product is "Intempt" and "Blu Agent". You will use the Intempt name and marks only as the order and Intempt's guidelines allow.
19.3 Prohibited methods. You will not bid on Intempt brand terms in paid search, stuff or cloak links, list a code on a coupon or deal site, spam, or publish the content in a context that is unlawful, deceptive, hateful, or otherwise harmful to Intempt's reputation.
20. Creator confidentiality, warranties and data
20.1 Confidential performance data. To make your content perform, you may see Intempt's live ad account, the creator leaderboard, customer acquisition cost (CAC), ad spend, and other performance data. This information is confidential. You may talk about your own participation and your own results, but you may not publish or share account-level figures such as total spend, CAC, or another creator's numbers. Information is not confidential to the extent it is or becomes public through no fault of yours, you already had it without a duty of confidence, or a law or court requires you to disclose it, in which case you give Intempt reasonable notice first where allowed.
20.2 Your warranties. You warrant that you have the rights to everything in your content, including any music, stock footage, other footage, and any third party who appears or is shown, and that you have made the disclosures Section 19 requires. You warrant that your use of these does not infringe anyone's rights.
20.3 Your indemnity. You will indemnify and hold harmless Intempt from third-party claims arising from your breach of Section 20.2, from content you supplied, or from your breach of this Agreement.
20.4 Intempt's responsibility. Intempt is responsible for claims that arise from copy, claims or assets that Intempt supplied to you and that you used as supplied.
20.5 No scraping or export. You may not scrape, copy, export, or retain customer or performance data beyond what is needed for the work, and you delete what you hold when an order ends or when Intempt asks.
21. Creator term and survival
21.1 Term. The Creator section applies to each order you accept. Either party may end an order on written notice. Fees earned on valid ad spend that ran before the end date, and fees earned on a sponsored placement that went live before the end date, are still paid, subject to the valid-spend and clawback rules in Section 18.6.
21.2 Survival. Section 18.6 (valid spend and clawback, for amounts still being settled), Section 20 (confidentiality, warranties, indemnity and data) survive the end of an order or the Creator relationship.
