Intempt Collective UGC Ads Terms
Last Modified: October 13, 2026 (version 2026-10-13-draft)
DRAFT, not a published agreement. These UGC Ads Terms are a draft pending legal review and are not yet offered to any creator. Do not rely on them until this notice is removed.
These UGC Ads Terms (the "Agreement") govern a performance creator placement in which you make short user-generated content (UGC) featuring Intempt or an Intempt recipe, and Intempt Technologies LLC ("Intempt," "we," "us") runs that content as paid advertising. This is the one creator earning path the Intempt Collective Terms do not cover. Referrals and recipe royalties stay under the Intempt Collective Terms; agencies stay under the Agency Terms. You may earn under all three at once; taking a UGC ads fee does not reduce your referral commission or recipe royalty.
1. The deliverable
1.1 Content. You produce one or more UGC videos featuring Intempt or a specific Intempt recipe, to a brief and a monthly quota set in a short written order the parties both accept. You make the content in your own voice; Intempt provides the frame and the facts, not a script.
1.2 Link. Where the video carries a link or your per-creator code, it uses the referral link or code assigned to you, so any signups it drives also earn your referral commission under the Collective Terms.
2. Paid-media license (whitelisting)
2.1 Right to run as ads. You grant Intempt a non-exclusive license to run your UGC as paid advertising on platforms including Meta, TikTok, YouTube and LinkedIn, and to run it from or in partnership with your own handle (for example Spark Ads or partnership/whitelisting access), for the term stated in the order.
2.2 Term and stop. Intempt may run, pause, edit the ad placement (not your underlying content) and stop the ads at any time. Your pay accrues only while an ad is actually running (Section 3).
3. Fee and payment
3.1 Performance fee. You earn a percentage of the ad spend Intempt runs behind your videos, at the rate stated in the order (the default reference rate is seven percent (7%)). The fee accrues for as long as Intempt keeps spending behind your content, with no fixed end date, and stops when the ads stop.
3.2 Smart retainer (monthly minimum). An order may set a monthly minimum guarantee (a "smart retainer") tied to a content quota, for example a set number of videos per month. The retainer is a floor, not a fee: if you hit the quota and your performance fee for the month is below the floor, Intempt tops you up to the floor; if your performance fee meets or exceeds the floor, no top-up is paid and you keep the full performance fee. A retainer may be time-limited by the order.
3.3 Payment. Intempt pays valid invoices net 30. Payment rails are owned by Intempt payments and confirmed before an order is signed. You are responsible for your own taxes and must provide the tax form (W-9 or W-8) before the first payout.
3.4 Stacking. This performance fee is separate from and additional to any referral commission or recipe royalty you earn on the same work. Nothing here reduces those.
4. Content ownership and reuse
4.1 Ownership. You own the content you make. Intempt does not acquire ownership.
4.2 Reuse. Beyond the paid-media license in Section 2, you grant Intempt a non-exclusive, royalty-free license to reuse and clip the content on Intempt's own channels for the term stated in the order. Exclusivity or perpetual rights apply only if the order says so and are priced separately.
5. Disclosure and conduct
5.1 FTC. You disclose the paid relationship clearly and conspicuously on the content, as the FTC Endorsement Guides require ("#ad" or "#sponsored", or an equivalent spoken disclosure).
5.2 Truthful claims. Claims about Intempt must be truthful and not misleading. The product is "Intempt" and "Blu Agent".
5.3 Brand safety and approval. Intempt may review a placement for factual accuracy and brand safety before it runs, within the feedback window in the order. This is not editorial control over your voice.
5.4 Prohibited methods. The conduct rules in the Collective Terms (no brand-term bidding, no cookie stuffing, no listing codes on coupon or deal sites, no spam) apply here too.
6. Term and termination
6.1 Term. This Agreement applies to each order you accept. Either party may end an order on written notice; fees earned on ads that ran before the end date are still paid.
6.2 Changes. Intempt may update these terms by posting a new version; the version in force when you accept an order governs that order.
