Intempt Creator Sponsorship Agreement
Last Modified: October 15, 2026
This Creator Sponsorship Agreement (the "Agreement") governs a paid sponsorship in which you (the "Creator") create content featuring Intempt or an Intempt recipe and publish it on your own channel, and Intempt Technologies LLC ("Intempt") pays you for that placement. It is the one creator earning path that the Intempt Collective Terms do not cover. Referrals and recipe royalties stay under the Collective Terms, running your content as paid ads stays under the UGC Ads Terms, and agencies stay under the Agency Terms. You may earn under more than one at once, and a sponsorship fee does not reduce anything you earn under the others.
1. The Placement
1.1 Each placement is a written order. The specifics of a placement, the deliverable, the format and channel, the go-live date, the fee, and the link or code to use, are set in a short written order that both parties accept. An order incorporates this Agreement, and this Agreement controls if the two conflict, except where the order states a specific commercial term such as the fee.
1.2 Your voice. You make the content in your own voice. Intempt gives you the frame and the facts, not a script. You decide how to present it, within the standards in Section 5.
1.3 Link and code. Where the placement carries a link or a code, you use the referral link or per-creator code assigned to you, so that any signups it drives also earn your referral commission under the Collective Terms.
2. Fee and Payment
2.1 Fee. Intempt pays you the fee stated in the order, either a flat fee for the placement or a rate based on the views it delivers (CPM), as the order sets out.
2.2 Invoicing. You invoice Intempt after the placement goes live and meets the order. Intempt pays a correct invoice within thirty (30) days of receiving it.
2.3 Taxes. The fee is exclusive of any taxes you owe on it. You are responsible for your own taxes, and Intempt may require a completed tax form before it pays you.
3. Review
Before the placement goes live, Intempt may review it for factual accuracy and brand safety, within the window stated in the order. The review is limited to whether the content is accurate and safe to run; it is not control over your creative. You will correct a factual error Intempt identifies before go-live.
4. Disclosure
You disclose the paid relationship clearly and conspicuously on the content, as the United States Federal Trade Commission Endorsement Guides require, using "#ad" or "#sponsored" or an equivalent spoken disclosure, and you comply with the disclosure rules of the platform you publish on.
5. Standards and Conduct
5.1 Truthful claims. You will not make a claim about Intempt that is false or misleading, and you will use the Intempt name and marks only as the order and Intempt's guidelines allow.
5.2 No prohibited promotion. You will not bid on Intempt brand terms in paid search, stuff or cloak links, or publish the content in a context that is unlawful, deceptive, hateful, or otherwise harmful to Intempt's reputation.
6. Ownership and Reuse
6.1 You own your content. You own the content you create. Intempt does not acquire ownership of it.
6.2 Reuse license. You grant Intempt a non-exclusive, royalty-free license to reuse and clip the content on Intempt's own channels for the term stated in the order. Exclusivity or perpetual rights apply only if the order says so and are priced separately. Running the content as paid advertising is covered by the separate UGC Ads Terms, not by this license.
7. Cancellation and Kill Fee
7.1 Before production. Either party may cancel a placement before you begin producing it, at no cost.
7.2 After production. If Intempt cancels a placement after you have begun producing it but before it goes live, Intempt pays the kill fee stated in the order, or, if the order states none, a fair amount for the work you have done.
8. How This Stacks
A sponsorship fee under this Agreement is separate from, and additional to, any referral commission or recipe royalty you earn under the Collective Terms, and any share of ad spend you earn under the UGC Ads Terms, on the same work. Nothing here reduces those.
9. Relationship
You act as an independent contractor. This Agreement does not create an employment, agency, partnership or joint venture relationship, and neither party may bind the other.
10. General
This Agreement is governed by the governing law, venue and dispute provisions of the Intempt Customer Terms of Service. Intempt may update this Agreement by posting a revised version on this page; the version that applies to a placement is the one in effect on the date of its order. The current signed copy is the PDF generated from this page, identified by the Last Modified date above; do not sign or rely on an older copy.
